In this case, the Gujarat State Financial Corporation (GSFC) had sanctioned a loan to Lotus Hotels Pvt. Ltd. (Lotus) for the construction of a hotel. However, Lotus failed to repay the loan on time, and GSFC initiated proceedings to recover the amount. Lotus argued that the loan agreement was not valid as it was executed without the board`s consent. The court held that the loan agreement was valid and binding as the managing director had the authority to execute it.

2. Satyawati Tondon v. Union of India

In this case, Satyawati Tondon was registered as a candidate for the Ph.D. program at Delhi University. However, her admission was canceled as she failed to produce the necessary documents. The court held that there was no valid contract between Tondon and Delhi University as the terms and conditions were not properly communicated to her. The court also stated that a contract cannot be enforced if the essential terms are vague or unclear.

3. Godhra Electricity Co. v. State of Gujarat

In this case, the State of Gujarat issued a tender for the supply of electricity. Godhra Electricity Co. (GEC) submitted a bid, which was accepted. However, GEC later refused to supply electricity citing financial difficulties. The court held that GEC was bound by the terms of the contract, and its failure to supply electricity amounted to a breach of contract.

4. State of Punjab v. Modern Cultivators

In this case, the State of Punjab had leased land to Modern Cultivators for cultivation. However, Modern Cultivators failed to pay the rent, and the state government canceled the lease. Modern Cultivators argued that the lease agreement was not valid as it was executed by an unauthorized person. The court held that the lease agreement was valid and binding as the person who executed the agreement had the necessary authority.
